Legal
Terms and Conditions
This English translation is provided for convenience. Only the German version is legally binding: German version
These terms apply to the translation services of SeoTranslationPro and to WPML licences that we provide through our agency account with the manufacturer (section 10). We work exclusively for businesses.
1. Scope and provider
(1) These Terms and Conditions apply to all contracts between Thilo Beier, SeoTranslationPro, Uerdinger Str. 630, 47800 Krefeld, Germany ("we") and our customers for the services on seotranslationpro.com, in the customer portal and via our interfaces.
(2) Our offer is directed exclusively at businesses (entrepreneurs within the meaning of Section 14 of the German Civil Code), legal entities under public law and special funds under public law. We do not enter into contracts with consumers. By ordering, the customer confirms that they act in the course of their trade, business or profession.
(3) The customer's own terms and conditions do not apply, even if we do not expressly object to them.
2. Services
(1) We translate content of online shops and websites, in particular on Shopify and on WordPress with WPML, automatically using AI language models. Depending on the service, this includes reading the content, glossaries, automated checks and writing the translations back. The exact scope follows from the service description on the website and in the customer portal at the time of the order.
(2) Translations are machine-generated. We owe careful processing in line with the state of the art, but not an error-free or professionally reviewed translation and no particular result such as search rankings or sales. The customer checks the content before using or publishing it, in particular legally relevant texts such as legal notices, health, safety or mandatory product information.
(3) We may use subcontractors, in particular providers of AI language models and hosting.
3. Conclusion of contract and customer account
(1) The presentation of packages, subscriptions and WPML licences on the website and in the customer portal is not a binding offer. The contract is concluded when the customer submits a paid order (button "Buy now" with obligation to pay in the customer portal, or completing the Stripe checkout) and we accept it by crediting, performing or confirming it.
(2) Customers sign in to the customer portal via a link sent by email. The customer protects access to their mailbox and shop against unauthorised persons and informs us immediately of any suspected misuse. The customer is responsible for the actions of the persons they give access to.
4. Character balance
(1) Our services are billed via a balance of characters. Characters translated for an order are consumed; the count shown in the customer portal is decisive. Before an order we reserve the expected amount and settle the actual consumption on completion.
(2) Purchased characters are credited after receipt of payment. The balance does not expire as long as the customer account exists. Unused balance is not paid out or refunded, to the extent permitted by law.
(3) If the balance is insufficient for an order and no automatic top-up is active, we do not carry out the order or only in part.
5. Packages (one-time purchase)
Packages are one-time purchases of a fixed number of characters. They do not create a subscription and do not renew.
6. Subscription
(1) A subscription runs for one month from the date it is taken out and renews automatically for a further month unless cancelled.
(2) The subscription fee is due in advance at the start of each billing month. After receipt of payment we credit the included characters. Unused characters are kept.
(3) The customer can cancel the subscription at any time in the customer portal with effect from the end of the current billing month. Months already paid are not refunded pro rata. A change of tier applies from the next billing date.
(4) We may cancel the subscription with one month's notice to the end of a billing month. The right of both parties to terminate for good cause remains unaffected.
7. Automatic top-up
(1) The customer can switch on an automatic top-up in the customer portal. It is off by default. When active, we buy the package chosen by the customer and charge the stored payment method when the balance falls below the threshold set by the customer or an order needs more characters than available.
(2) Per calendar month we top up at most as often and up to the amount the customer has set in the customer portal. If a limit is reached, the order waits or is not carried out.
(3) Each top-up is a separate purchase at the price shown in the customer portal at the time of the top-up. The customer receives an invoice and a notification. The customer can switch the automatic top-up off or change it at any time with effect for future top-ups.
(4) Orders waiting for a payment start once payment is received. If the payment is declined, we cancel the order.
8. Prices and payment
(1) The prices shown in the customer portal or on the offer page at the time of the order apply. All prices are net prices plus statutory VAT where applicable.
(2) Customers established in another EU member state, in Switzerland, Liechtenstein, the United Kingdom or Norway provide a valid VAT identification number when ordering. For services to businesses in other EU member states, the customer owes the VAT (reverse charge). The customer informs us immediately of any change to their details and indemnifies us against tax claims resulting from incorrect details.
(3) Payment is processed by the payment service provider Stripe (Stripe Payments Europe, Ltd., Ireland) using the payment methods shown in the checkout. With the first purchase the customer stores their payment method for later payments, where the chosen payment method allows this, and authorises us to collect purchases they trigger in the customer portal, subscription fees and top-ups they have activated. For SEPA Direct Debit, the mandate given by the customer in the checkout applies. The pre-notification is sent with the invoice; the notice period is shortened to one day. For payment methods of other providers (e.g. PayPal or Klarna), their terms apply in addition.
(4) The customer receives invoices electronically by email and agrees to electronic transmission.
(5) Payments are due immediately. If the customer is in default or a payment is reversed, we may suspend current and new orders until settlement and reverse the characters from the affected payment. The customer bears the costs of a chargeback or returned debit for which they are responsible.
9. Customer obligations and rights of use
(1) The customer ensures that they may have the submitted content processed and translated and that it does not infringe third-party rights or laws. The customer indemnifies us against third-party claims based on such infringements.
(2) The customer grants us the access to the shop or website required for the service and backs up their data regularly. We only change content within the scope of the order.
(3) The customer may use the translations created for them without restriction in time, territory or content.
10. WPML licences
(1) We offer licences for the WordPress plugin WPML Multilingual CMS with lifetime updates. WPML is a product of OnTheGoSystems Limited ("manufacturer"). We are not affiliated with the manufacturer and do not own the rights to WPML. We provide the licence through our agency account with the manufacturer: we register the domain the customer gives when ordering with the manufacturer and send the customer the download link and licence key by email within 24 hours of receiving payment at the latest.
(2) The use of WPML is governed exclusively by the manufacturer's licence and usage terms as amended from time to time (available at wpml.org). We grant no further rights. The customer undertakes to comply with these terms.
(3) The licence is valid for one domain. The domain cannot be changed later. The licence may not be resold or made available to third parties.
(4) Updates are available as long as the manufacturer develops and provides version 4.x. We have no influence on the scope, timing or content of updates. The customer has no claim to future major versions or specific features.
(5) Support for WPML is not included. We answer questions about translating with SeoTranslationPro as usual.
(6) If WPML is not compatible with the customer's website or does not work, we refund the purchase price if the customer tells us within 30 days of the purchase and we confirm it after a check. With the refund the right of use ends; we cancel the registration of the domain with the manufacturer.
(7) Sections 4 to 7 and section 9 (3) do not apply to WPML licences.
11. Availability
We aim for operation with as few interruptions as possible. Maintenance and disruptions at third parties such as shop platforms or AI providers may cause delays. We only owe specific processing times if expressly agreed.
12. Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and where we have given a guarantee.
(2) In the case of slight negligence, we are only liable for breach of essential contractual obligations whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment the customer may rely. Liability is then limited to the typical, foreseeable damage, at most to the fees paid by the customer in the twelve months before the damaging event.
(3) For loss of data we are only liable for the effort that would have been required to restore it had the customer backed up their data regularly.
(4) Claims for defects become time-barred one year after the service was provided. This does not apply in the cases of paragraph 1.
13. Data protection and confidentiality
(1) Where we process personal data on behalf of the customer, for example in shop content, we conclude a data processing agreement under Art. 28 GDPR on request. Otherwise our Privacy Policy applies.
(2) We treat the customer's content confidentially and only pass it on where necessary for the service (section 2 (3)) or where required by law.
14. Closing the customer account
The customer can close their customer account at any time by email to info@seotranslationpro.com. A running subscription then ends at the end of the billing month. Unused balance lapses when the customer account is closed.
15. Changes to these terms
We may change these terms with effect for the future where there is an objective reason, such as new services or a change in the law. We announce changes by email at least four weeks before they take effect. If the customer does not object by then, they are deemed accepted; we point this out in the notice. If the customer objects, both parties may cancel the subscription as of the effective date. Balance already purchased keeps its previous price.
16. Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The exclusive place of jurisdiction for all disputes is Düsseldorf, Germany. We may also sue the customer at their registered office.
(3) The contract language is German. The English version is for information only.
(4) If any provision is invalid, the remaining provisions remain valid.
